2. Description of Services

Ezafe Technologies Private Limited provides the following services:

• Custom website design and development
• Google AdSense-integrated website development and optimization
• Google Ads (Search, Display, and Remarketing) campaign management
• Microsoft Bing Ads (Microsoft Advertising) campaign management
• Mobile application development for iOS and Android platforms
• Custom software solutions including CRM, ERP, and API integrations

The scope, deliverables, timeline, and pricing for each project are defined in a separate written agreement or proposal provided to the client prior to commencement of work.

3. User Obligations

By engaging our services, you agree to:

• Provide accurate, complete, and up-to-date information as required for project delivery
• Respond to requests for feedback, approvals, or content within agreed timelines
• Not use our services for any unlawful purpose or in violation of any applicable laws
• Not attempt to gain unauthorized access to any systems, data, or networks
• Ensure that any content you provide for use in your project does not infringe on the intellectual property rights of any third party
• Comply with all applicable Google, Microsoft, and other platform policies when using AdSense, Google Ads, or Bing Ads services we manage on your behalf

4. Intellectual Property

Upon receipt of full payment for a project, Ezafe Technologies transfers ownership of the custom deliverables (website code, design assets, app code) to the client, unless otherwise specified in the project agreement.

Ezafe Technologies retains ownership of all proprietary tools, frameworks, methodologies, and pre-existing intellectual property used in delivering services. Third-party components (open-source libraries, licensed fonts, stock images) remain subject to their respective licenses.

All content on the Ezafe Technologies website — including text, graphics, logos, and design — is the exclusive property of Ezafe Technologies Private Limited and may not be reproduced without written permission.

5. Payment Terms

Payment terms are specified in individual project agreements. General terms include:

• Projects typically require an advance payment before work commences
• Milestone-based payments may apply for larger projects
• Final deliverables are released upon receipt of full payment
• Invoices are payable within the period specified in the project agreement
• Late payments may result in suspension of work or additional charges

All prices are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST) unless stated otherwise.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Ezafe Technologies Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our services, including but not limited to loss of revenue, loss of data, or business interruption.

Our total liability to you for any claim arising from our services shall not exceed the total amount paid by you to Ezafe Technologies for the specific service giving rise to the claim.

We do not guarantee specific advertising results (clicks, conversions, revenue) from Google Ads or Bing Ads campaigns, as these are subject to platform algorithms, market conditions, and other factors beyond our control.

7. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of the engagement. This obligation survives the termination of any service agreement.

8. Termination

Either party may terminate a service agreement with written notice as specified in the project agreement. Upon termination, the client is liable for payment for all work completed up to the date of termination. Ezafe Technologies reserves the right to terminate services immediately in cases of non-payment or breach of these Terms.

9. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Tamil Nadu, India, and the laws of India applicable therein. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.

10. Changes to Terms

Ezafe Technologies reserves the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to our website. Continued use of our services following any changes constitutes acceptance of the revised Terms.
