1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "you") and Ezafe Technologies Private Limited (CIN: U72900TN2022PTC149563), a company incorporated under the Companies Act, 2013, having its registered office at No. 91, Rathinavel Pandiyan Street, G.G. Nagar, Chennai, Tamil Nadu, India — 600107 ("Ezafe Technologies", "we", "us").

By engaging our services, accessing our website, or entering into a project agreement, you agree to be bound by these Terms. If you do not agree, please do not use our services.

2. Services

Ezafe Technologies provides technology and digital marketing services including, but not limited to, web development, AdSense-inbuilt website creation, Google Ads management, Bing Ads management, mobile application development, and custom software solutions.

The specific scope, deliverables, timelines, and pricing for each engagement will be defined in a written project agreement or statement of work ("SOW") agreed upon by both parties prior to commencement of work.

We reserve the right to refuse service to any client at our discretion, particularly where the requested work violates applicable law, third-party platform policies (including Google AdSense policies), or our ethical standards.

3. Payment Terms

• Payment terms are specified in the project SOW or invoice. Standard terms require a deposit (typically 50%) before work commences, with the balance due upon project completion or as per milestone schedule.
• All prices are quoted in Indian Rupees (INR) and are exclusive of applicable taxes (GST) unless stated otherwise.
• Late payments beyond 15 days of the due date may attract interest at 1.5% per month or the maximum permitted by applicable law.
• Ezafe Technologies reserves the right to suspend or terminate services for non-payment.
• All payments are non-refundable once work has commenced, except as expressly agreed in writing or as required by applicable consumer protection law.

4. Client Obligations

The Client agrees to:

• Provide accurate, complete, and timely information, materials, and approvals required for project delivery
• Ensure that all content, images, logos, and materials provided to Ezafe Technologies do not infringe any third-party intellectual property rights
• Not use any deliverable or service for unlawful, fraudulent, or harmful purposes
• Comply with Google AdSense policies, Google Ads policies, Microsoft Advertising policies, and all applicable platform guidelines

5. Intellectual Property

Upon full and final payment for a project, ownership of the custom deliverables (website code, design assets, application code) created specifically for the Client will transfer to the Client, unless otherwise agreed in writing.

Ezafe Technologies retains ownership of all pre-existing intellectual property, proprietary tools, frameworks, code libraries, and methodologies used in delivering services. The Client is granted a perpetual, non-exclusive licence to use such components as incorporated into the deliverables.

Ezafe Technologies reserves the right to include completed projects in its portfolio and marketing materials unless the Client explicitly requests otherwise in writing.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Ezafe Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of data, loss of business, or loss of profits, arising from or related to our services.

Our total aggregate liability to the Client for any claim shall not exceed the total fees paid by the Client to Ezafe Technologies in the three (3) months preceding the event giving rise to the claim.

Ezafe Technologies does not guarantee specific outcomes from advertising campaigns (including Google Ads or Bing Ads), as results depend on factors beyond our control including market conditions, competition, and platform algorithm changes.

8. Termination

Either party may terminate a project agreement with 14 days' written notice. Upon termination, the Client shall pay for all work completed up to the termination date. Ezafe Technologies will provide all completed work product upon receipt of final payment.

Ezafe Technologies may terminate immediately without notice if the Client breaches these Terms, engages in illegal activity, or fails to make payment.

9. Warranties & Disclaimers

Ezafe Technologies warrants that services will be performed in a professional and workmanlike manner. We do not warrant that websites or applications will be error-free or uninterrupted, or that third-party services (hosting, CDN, ad networks) will operate without interruption.

The website and its content are provided "as is" without warranties of any kind, express or implied, to the fullest extent permissible under applicable law.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

The parties agree to attempt to resolve any dispute through good-faith negotiation before initiating legal proceedings. If negotiation fails, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996 of India.

11. Amendments

Ezafe Technologies reserves the right to update these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our services after such changes constitutes your acceptance of the new Terms.
